State annual reports, franchise tax, and RA renewals
The recurring US state obligations that keep an entity in good standing — annual reports, franchise tax, and registered-agent renewal.
A US company doesn't stay alive on its own. Each state expects periodic filings to keep an entity in good standing, and letting them lapse can lead to penalties or administrative dissolution. FormBridge's Compliance agent tracks the recurring state obligations for your entity and files or escalates each one on time.
The three recurring state obligations
- Annual report
- A periodic filing with the state that confirms your company's basic details — address, officers or members, registered agent. Most states require it yearly; a few are biennial. Fees vary by state and are billed at cost.
- Franchise tax
- A tax some states levy for the privilege of existing there, separate from income tax. Wyoming has no state income tax; Delaware charges a franchise tax that C-Corps in particular need to calculate carefully. The agent flags what applies to your state.
- Registered-agent renewal
- Your registered agent is your entity's official point of contact in its state of formation. FormBridge files through a registered-agent partner, and the renewal is tracked so your agent of record never lapses.
Any state filing fee passed along by these obligations is billed at cost with no markup — the same policy as formation. You see the amount before anything is charged.
How they're handled
- Each obligation is placed on your compliance calendar with its due date the moment your entity is formed.
- Where the state exposes an API, the agent prepares and submits the filing and records it under Filings.
- Where it doesn't, the agent assembles the filing and hands it to a licensed partner or to you.
- Miss a deadline and you'll get weekly reminders until it's resolved.
Franchise tax calculations and good-standing rules are state-specific and change. FormBridge tracks and files; it does not advise on your tax position. For franchise-tax math on a C-Corp, this connects to the Tax autopilot and a licensed CPA partner.
